Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VaaniLabs platform, console, and voice-agent services (the "Service") operated by VaaniLabs ("VaaniLabs", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of the business you represent.

1. Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. If you are entering into these Terms for an organisation, you represent that you are authorised to bind that organisation.

2. Description of the Service

VaaniLabs provides AI voice agents that make and take phone and web calls for collections, customer support, and assisted commerce. The Service includes a console for building and configuring agents, connecting data sources, running campaigns, recording and transcribing calls, and reviewing compliance and audit records. The Service is compliance-native — for example, agents carry a pre-call identity disclosure and a compliance gate blocks dials that fail calling-hours, consent, frequency-cap, or DND checks — but it is a tool you operate, not a substitute for your own legal and regulatory judgement.

3. Accounts and eligibility

The Service is offered to businesses only. You must be a registered business or an authorised representative of one, and at least 18 years old, to hold an account. You are responsible for the accuracy of your account information, for keeping credentials secure, and for all activity that occurs under your account and workspace.

4. Acceptable use

You agree that you will not use the Service to:

  • place unlawful robocalls, spam, or harassing or abusive calls;
  • contact individuals who have not provided a lawful basis or who are on DND without a valid exemption;
  • impersonate any person or organisation, or omit the required agent-identity disclosure;
  • call outside permitted hours or beyond permitted frequency;
  • collect or misuse personal data in violation of the DPDP Act or other applicable law; or
  • attempt to breach, probe, or circumvent the security or compliance controls of the Service.

5. Your compliance responsibilities

You are the data fiduciary for the people you ask us to contact. You are solely responsible for having a lawful basis and valid consent to call each person, for honouring DND and consent-withdrawal, for the accuracy of the data you upload or connect, and for your own regulatory compliance — including, where applicable, the RBI Digital Lending Directions, 2025 and the RBI Fair Practices Code (FPC) for recovery and collections. Our compliance gate and disclosures are controls to help you; they do not transfer your legal obligations to us.

6. Fees and billing

The Service is billed on a credits / wallet model, primarily on a per-minute basis for calling and related usage, plus any subscription or add-on fees agreed in your order. You agree to maintain sufficient wallet balance for your usage. Fees are exclusive of applicable taxes (including GST), which you are responsible for. Prepaid credits are consumed as you use the Service and, except where required by law, are non-refundable once consumed.

7. Intellectual property

VaaniLabs and its licensors own the Service, including its software, models, interfaces, and brand. You own your own data — the contact lists, connected-source data, recordings, and transcripts belonging to your workspace — and you grant us the limited licence needed to process that data to provide the Service. You may not copy, resell, reverse-engineer, or create derivative works from the Service except as permitted by law.

8. Disclaimers

The Service uses AI, and AI output is probabilistic and not guaranteed to be accurate, complete, or fit for any particular purpose. The Service is provided "as is" and "as available" without warranties of any kind to the extent permitted by law. Nothing generated by the Service is legal, financial, tax, or compliance advice, and you should not rely on it as such.

9. Limitation of liability

To the maximum extent permitted by law, VaaniLabs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us for the Service in the three months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold VaaniLabs harmless from claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your data, the calls you instruct us to place, or your breach of these Terms or of applicable law — including any failure to obtain lawful consent or to comply with the RBI directions.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that creates legal, security, or reputational risk — including unlawful or abusive calling. Where practical we will give notice. On termination, you may export your data for a reasonable period, after which it may be deleted per our retention practices.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

13. Changes to these terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, notify you through the console or by email. Continued use of the Service after changes take effect constitutes acceptance.
